These Affiliate Terms & Conditions (“Terms”) govern participation in the CryptoBookz.com affiliate program (the “Program”). By applying to or participating in the Program, you (“Affiliate,” “you,” or “your”) agree to be legally bound by these Terms, our Website Terms & Conditions, Privacy Policy, and Cookie Policy. If you do not agree, do not join or participate in the Program.

1. Definitions

  • “Company,” “we,” “us,” “our” means CryptoBookz.com and its owners/operators.
  • “Program” means the CryptoBookz.com affiliate program described herein.
  • “Affiliate” means the individual or entity accepted into the Program.
  • “Customer” means a user who purchases eligible products via a valid Affiliate referral.
  • “Net Revenue” means the gross order value actually received by us minus payment processing fees, chargebacks, refunds, taxes/VAT/GST/sales tax, discounts/coupons, and any third-party marketplace or platform fees, if applicable.
  • “Commission” means the amount payable to the Affiliate as a percentage of Net Revenue, subject to these Terms.
  • “Tracking Cookie” means the attribution cookie placed when a user clicks an Affiliate link.
  • “Qualifying Purchase” means a purchase that meets all Program rules, is not refunded or charged back, and for which the Tracking Cookie is valid and attributed to the Affiliate.

2. Enrollment & Account

  1. Application: Submit an application via the Affiliates page. We may approve or reject any application at our sole discretion.
  2. Accuracy: You must provide accurate, complete, and current information, including payment details and tax information where required.
  3. Account Access: Manage your links, stats, and payouts in the Affiliate Area.

3. Commission, Cookie Window & Attribution

  • Commission Rate: 50% of Net Revenue on each Qualifying Purchase attributed to you.
  • Cookie Duration: 30 days from the user’s first click on your referral link, unless cleared by the user or superseded by another Affiliate’s later click (last-click attribution by default).
  • Attribution: Standard last-click model via first-party links. If multiple Affiliates refer the same user within the 30-day window, the most recent valid click usually receives credit.
  • Cross-Device/Browser: Only tracked when the same user remains logged in and/or the tracking mechanism supports it. We do not guarantee cross-device attribution.
  • Coupons: Custom coupon codes may be issued. If coupon attribution conflicts with link attribution, our internal rules determine final credit (as visible in your dashboard or specified in writing).

4. Payouts

  • Schedule: Payouts are processed weekly (on Thursdays) for cleared balances (i.e., outside refund/chargeback windows).
  • Methods: Crypto (USDT/USDC/BTC/ETH) or PayPal, as available. You are responsible for any wallet or PayPal restrictions, and for providing correct details.
  • Minimum Threshold: $10 (ten U.S. dollars) minimum to request or receive a withdrawal. Balances under $10 roll over to the next cycle.
  • Fees & FX: Any payout fees, network fees, exchange fees, or currency conversion are borne by the Affiliate and may be deducted from the payout.
  • Reversals: Refunded, canceled, fraudulent, or charged-back orders are not commissionable. If commission was already paid, we may deduct it from future payouts or invoice the Affiliate.

5. Eligible Traffic & Prohibited Conduct

To protect the integrity of the Program and user trust, the following rules apply:

  • No spam or unsolicited messages: Email/SMS/DM campaigns must comply with anti-spam laws (e.g., CAN-SPAM, GDPR/PECR). Provide clear opt-out links and sender identification.
  • No cookie stuffing or forced clicks: Prohibits hidden iframes, auto-redirection, link hijacking, or similar tactics.
  • No misleading claims: Do not promise guaranteed profits, “get rich quick,” or misrepresent product benefits, pricing, or policies.
  • No brand-term abuse in ads: No bidding on our brand names, domains, or confusing variants. No impersonation of CryptoBookz.com in ads, landing pages, or handles.
  • No trademark or logo misuse: Use only approved brand assets and creatives. Do not alter our logos without written consent.
  • No self-referrals: You may not earn commissions on your own purchases or purchases by your immediate household or employees where this is primarily intended to generate a commission.
  • No incentivized or fake traffic: Prohibits bots, click farms, fake accounts, pay-to-click schemes, or traffic from malware/adware.
  • Content compliance: Content must be lawful, non-infringing, and compliant with platform rules (e.g., Google, Meta, X/Twitter, YouTube, TikTok).
  • Geo-compliance: You are responsible for compliance with local advertising/consumer laws (e.g., FTC/ASA disclosure rules).

6. Promotional Guidelines

  • Disclosure: Affiliates must include clear, conspicuous disclosures (e.g., “I may earn a commission if you buy through my link.”).
  • Email marketing: Only email contacts who have consented; include sender info and unsubscribe links.
  • Social & video: Disclose affiliate relationships in captions/descriptions and within the content, as required.
  • Coupons: Publish only your assigned codes. “Generic” public codes not issued to you may not credit your account.
  • Reviews & comparisons: Be accurate and fair; no false claims about competitors.
  • Creative assets: Use our approved banners, mockups, and text where possible. Request custom sizes/languages if needed.

7. Orders, Refunds & Chargebacks

  • Eligibility: Only Qualifying Purchases generate commission. Our standard store refund policy applies.
  • Reversals: If a sale is refunded, disputed, or fraudulent, the corresponding commission will be voided or clawed back.
  • Net Revenue basis: Commissions are calculated on Net Revenue after fees, taxes, discounts, and adjustments.
  • Timing: We may hold commissions during refund/chargeback windows before marking them as payable.

8. Data, Tracking & Privacy

  • Cookie Window: 30 days as stated in Section 3.
  • Tracking Limitations: Users who block cookies, use private browsing, switch devices/browsers, or clear cookies may not be tracked; we cannot guarantee attribution in such cases.
  • Privacy: All data handling is governed by our Privacy Policy and applicable laws. Do not collect or share personal data about users beyond what is permitted by law and these Terms.
  • KYC/Verification: We may request identity or business verification to meet compliance, anti-fraud, or payout requirements.

9. Taxes

You are solely responsible for reporting and paying all taxes related to your commissions, including income tax, VAT/GST where applicable, and any required filings. We may request tax forms or documentation as required by law and may withhold payments if documentation is not provided.

10. Intellectual Property

  • License to use assets: We grant a limited, revocable, non-exclusive, non-transferable license to use our name, approved logos, and creatives solely to promote our products under these Terms.
  • Restrictions: Do not modify logos or create confusingly similar branding. All intellectual property rights remain with us or our licensors.

11. Term, Suspension & Termination

  • Term: These Terms begin upon acceptance into the Program and continue until terminated.
  • Suspension/Termination: We may suspend or terminate your participation at any time, with or without cause, including for suspected fraud, policy violations, or reputational risk.
  • Effect of Termination: Upon termination, you must remove all affiliate links and creatives. Unpaid but approved commissions (that are not subject to refunds/chargebacks) will be paid according to the next scheduled payout cycle, subject to the $10 minimum threshold.

12. Representations & Warranties

You represent and warrant that (a) your content and promotional methods comply with all laws and platform rules; (b) you have full authority to enter into these Terms; and (c) your participation will not infringe any third-party rights.

13. Indemnification

You agree to indemnify, defend, and hold harmless CryptoBookz.com, its owners, and affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your participation in the Program, your breach of these Terms, or your violation of any law or third-party rights.

14. Disclaimers & Limitation of Liability

  • No warranty: The Program is provided “as is” and “as available.” We disclaim all warranties, express or implied.
  • No guarantee of earnings: We do not guarantee any level of traffic, conversions, or income.
  • Limitation: To the maximum extent permitted by law, our aggregate liability for any claims related to the Program shall not exceed the total commissions paid to you in the six (6) months preceding the claim.

15. Confidentiality

Non-public information we provide (e.g., conversion data, payout terms not public, roadmaps, or private creatives) is confidential. Do not disclose it to third parties without our written consent.

16. Changes to the Program or Terms

We may modify the Program or these Terms at any time. Updated Terms will be posted on this page with the “Last Updated” date. Continued participation after changes constitutes acceptance. If you do not agree, you must cease participation.

17. Independent Contractors

Affiliate and Company are independent contractors. Nothing herein creates an employment, agency, joint venture, or partnership relationship.

18. Governing Law & Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which CryptoBookz.com is registered, without regard to conflicts-of-law principles. Courts of that jurisdiction shall have exclusive jurisdiction over disputes arising under these Terms. You agree to attempt informal resolution by contacting us before filing any legal action.

19. Miscellaneous

  • Assignment: You may not assign your rights or obligations without our prior written consent.
  • Severability: If any provision is held invalid, the remaining provisions remain in full force.
  • Waiver: Our failure to enforce any provision is not a waiver of that provision.
  • Entire Agreement: These Terms constitute the entire agreement regarding the Program and supersede prior communications.
  • Survival: Sections concerning IP, confidentiality, indemnity, limitations, and payment reversals survive termination.
